We do not represent that every recommendation will be appropriate for every business or circumstance.

5. Scope of Services and Change OrdersServices will be performed according to the scope described in the applicable Client Agreement.
Requests or work that falls outside the agreed scope may constitute additional services and may require an additional fee, revised timeline, or separate agreement.
Examples of scope changes may include:
- additional deliverables;

- substantial revisions beyond the agreed revision process;
- additional meetings or strategy sessions;
- new projects introduced after work has begun;

The client is responsible for all applicable taxes, transaction fees, and other charges identified on the invoice.
All payments must be made in the currency and by the payment method specified by LYMM.
7. Late or Non-PaymentIf an amount becomes overdue, LYMM may, without liability to the client:
- pause or suspend services;

- suspend access to services or project activities;
- delay project timelines;
- decline to begin additional work;
- require outstanding amounts to be paid before work resumes; and/or
- terminate the engagement where permitted by the applicable Client Agreement.
A suspension caused by non-payment does not automatically extend the original project timeline or reserve LYMM's availability.
The client remains responsible for amounts properly incurred or earned before suspension or termination.
8. Client Delays and Project TimelinesProject timelines are estimates unless expressly identified as firm deadlines in writing.
Client delays, including delayed approvals, missing information, unavailable access, changes in direction, or failure to provide required materials, may result in corresponding changes to project timelines.
Where a project is delayed substantially by the client, LYMM may need to reschedule the project based on our then-current availability.
9. Intellectual PropertyUnless otherwise agreed in writing, LYMM retains all rights, title, and interest in its pre-existing intellectual property, proprietary materials, methodologies, processes, systems, templates, frameworks, strategies, tools, know-how, concepts, documentation, workflows, prompts, internal processes, and other materials developed or owned by LYMM independently of the client's engagement.
This includes, without limitation, LYMM's proprietary frameworks, strategic methodologies, naming conventions, processes, operating systems, templates, training materials, models, and approaches.
Client-specific final deliverables created specifically for the client may be licensed or assigned to the client as expressly stated in the applicable Client Agreement.
Unless expressly agreed otherwise, the client does not acquire ownership of LYMM's underlying methodologies, frameworks, templates, processes, know-how, or reusable intellectual property merely because those materials were used in producing a client deliverable.
The client may not reproduce, resell, distribute, license, publish, teach, commercialize, or create derivative works from LYMM's proprietary frameworks or materials for use by third parties without our prior written permission.
Nothing in these Terms prevents LYMM from using its general knowledge, skills, experience, ideas, concepts, techniques, and know-how developed or learned in the course of providing services, provided that LYMM does not disclose the client's confidential information.
10. Client MaterialsThe client retains ownership of materials supplied by the client to LYMM.
The client grants LYMM a limited, non-exclusive licence to use, reproduce, modify, adapt, and otherwise process client materials as reasonably necessary to provide the contracted services.
The client represents that it has the necessary rights and permissions to provide such materials and authorize LYMM to use them for the purposes of the engagement.
The client is responsible for ensuring that client-provided materials do not infringe the rights of any third party or violate applicable law.
11. Third-Party Platforms and ServicesLYMM may recommend, configure, integrate with, or work within third-party platforms, software, advertising networks, social media platforms, email platforms, website platforms, CRM systems, payment processors, analytics tools, artificial intelligence tools, and other third-party services.
LYMM does not own or control these third-party services and cannot guarantee their availability, functionality, security, pricing, policies, algorithms, performance, integrations, or continued operation.
Changes, outages, suspensions, restrictions, account limitations, policy changes, algorithm changes, security incidents, or other actions by third-party providers are outside LYMM's control.
The client is responsible for complying with the terms and policies applicable to the third-party services it uses.
12. Advertising and Marketing PerformanceWhere LYMM provides advertising, marketing, SEO, content, email, social media, funnel, or related services, performance may be affected by factors outside our control.
These may include platform algorithms, auction conditions, competition, market demand, audience behaviour, platform policies, tracking limitations, technical issues, attribution limitations, seasonality, economic conditions, changes to search engines or social platforms, and actions taken by third-party platforms.
Advertising spend is separate from LYMM's service fees unless expressly stated otherwise.
LYMM does not guarantee that advertising campaigns, content, websites, funnels, or marketing systems will generate a specific number of leads, sales, clients, or revenue.
13. AI-Assisted WorkLYMM may use artificial intelligence or other technology-assisted tools in connection with research, brainstorming, analysis, content development, organization, workflow development, or other aspects of service delivery.
Where AI-assisted tools are used, LYMM remains responsible for applying professional judgment to the work performed.
However, AI-generated or AI-assisted outputs may contain inaccuracies, omissions, errors, or unintended similarities.
Clients remain responsible for reviewing and approving final materials where client approval is requested or reasonably required.
14. ConfidentialityEach party agrees to use reasonable care to protect confidential information received from the other party and to use such information only for purposes reasonably necessary to perform or receive the services.
Confidential information does not include information that:
- is publicly available through no breach of confidentiality;
- was already lawfully known by the receiving party;
- is independently developed without use of confidential information;
- is lawfully received from a third party without confidentiality obligations; or
- is required to be disclosed by law or legal process.
15. Portfolio and Marketing UseUnless otherwise agreed in writing, LYMM may identify a client as a client of LYMM and may display completed work, publicly available business information, or publicly available results for portfolio, case study, website, social media, educational, or marketing purposes.
LYMM will not intentionally publish confidential information or non-public client information for these purposes without appropriate permission.
A client may request that specific confidential or sensitive work not be used publicly, and LYMM may agree to such request in writing.
16. Website Content and Intellectual PropertyAll content on the Website, including text, graphics, logos, branding, designs, images, videos, frameworks, downloads, templates, processes, and other materials, is owned by or licensed to LYMM unless otherwise stated.
You may access and use Website content for personal or internal business purposes only.
You may not copy, reproduce, republish, modify, distribute, sell, license, scrape, create derivative works from, or commercially exploit Website content without prior written permission.
17. Limitation of LiabilityTo the maximum extent permitted by applicable law, LYMM and its owners, contractors, employees, partners, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, sales, business opportunities, goodwill, data, or anticipated savings arising from or relating to the Website or services.
To the maximum extent permitted by applicable law, LYMM's total aggregate liability arising from or relating to a particular engagement will not exceed the total fees actually paid by the client to LYMM for the specific services giving rise to the claim during the [three/six/twelve] months preceding the event giving rise to the claim.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
18. IndemnificationTo the maximum extent permitted by law, the client agrees to indemnify and hold harmless LYMM and its owners, contractors, employees, partners, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from:
- the client's breach of these Terms or the applicable Client Agreement;
- materials, claims, representations, or information supplied by the client;
- the client's products, services, business practices, or marketing claims;
- the client's violation of applicable laws or third-party rights; or
- the client's misuse of LYMM's materials or intellectual property.
19. TerminationEither party may terminate a service engagement in accordance with the termination provisions contained in the applicable Client Agreement.
LYMM may suspend or terminate services where the client materially breaches the applicable agreement, fails to pay amounts due, repeatedly fails to provide required information or approvals, engages in abusive or inappropriate conduct, or otherwise creates circumstances that make continued performance unreasonable or unlawful.
Termination does not relieve either party of obligations that accrued before termination.
20. DisputesThe parties agree to first attempt to resolve any dispute through good-faith communication.
Nothing in these Terms prevents either party from exercising rights or remedies that cannot lawfully be waived or restricted under applicable law.
For agreements governed by these Terms, the laws of the Province of British Columbia and the applicable laws of Canada will govern, without regard to conflict-of-law principles.
Subject to applicable law, the courts of British Columbia will have jurisdiction over disputes arising from these Terms.
21. Changes to These TermsWe may update these Terms from time to time.
The updated version will be posted on the Website with a revised “Last Updated” date.
Changes to these Website Terms do not automatically amend an existing Client Agreement unless expressly agreed in writing.
22. SeverabilityIf any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
23. Entire AgreementThese Terms, together with any applicable Client Agreement, proposal, statement of work, invoice, or other written agreement between LYMM and the client, constitute the agreement between the parties regarding the applicable services.
If there is a conflict between these Website Terms and a signed Client Agreement, the Client Agreement will govern the client engagement.
